Welcome to MerinoTech. The terms "we", "us" and "our" refer to MerinoTech, which operates this store and website, including all related information, content, features, tools, products and services (the "Services"). MerinoTech is powered by Shopify, which enables us to provide the Services to you.
These terms and conditions, together with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.
Please read these Terms carefully. They include important information about your legal rights and cover areas such as liability and dispute resolution.
Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other applicable consumer protection law. Where any provision of these Terms conflicts with those rights, your statutory rights prevail.
By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you confirm that you are at least 18 years of age, and that you consent to any minor dependents using the Services on devices you own, purchase or manage.
To use the Services, including browsing our store or purchasing any of our products, you may be asked to provide certain information, such as your email address and billing, payment and delivery details. You confirm that the information you provide is correct, current and complete, and that you have all rights necessary to provide it.
You are responsible for maintaining the security of your account credentials and for activity on your account. You may not transfer, sell, assign or licence your account to any other person.

SECTION 2 - OUR PRODUCTS
We make every effort to represent our products accurately. Please note that colours and product appearance may differ from how they appear on your screen, depending on your device and its settings.
All product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product at any time and to limit the quantities of any product we offer to any person, geographic region or jurisdiction.
Nothing in this section affects your statutory right to goods that are of satisfactory quality, fit for purpose and as described under the Consumer Rights Act 2015.

SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before an order is accepted. If we do not accept, change or cancel an order, we will attempt to notify you using the email address, billing address or telephone number provided at the time of the order.
Once an order has been accepted, we may be unable to accommodate a cancellation request before dispatch. This does not affect your statutory right to cancel within 14 days of receiving the goods, as set out in our Refund Policy.
Returns and exchanges are handled in accordance with our Refund Policy.
You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND PAYMENT
All prices shown on our store are in pounds sterling and include UK VAT where applicable. Delivery charges are shown separately and are confirmed at checkout before you pay.
Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time your order is placed, as set out in your order confirmation email.
Where an order is delivered from outside the United Kingdom, import duties or charges may apply. Any such charges are indicated at checkout where possible.
We may offer promotions from time to time that are governed by separate terms. Where those terms conflict with these Terms, the promotion terms govern.
You agree to provide current, complete and accurate purchase, payment and account information, and to update it promptly so that we can complete your transactions and contact you as needed.
You confirm that (i) the payment details you provide are true, correct and complete, (ii) you are authorised to use the payment method for the purchase, and (iii) you will pay the charges incurred at the posted prices, including delivery charges and any applicable taxes.

SECTION 5 - DELIVERY
Delivery times shown on our site are estimates. Unless we agree otherwise with you, we will deliver your order within 30 days of the day you place it. If we fail to do so, you may contact us to agree a new delivery date or to cancel your order for a full refund.
Goods remain at our risk until they come into your physical possession, or into the possession of a person you have identified to take delivery of them.
We are not responsible for delays caused by events outside our reasonable control, but this does not affect your rights under the Consumer Rights Act 2015 or the Consumer Contracts Regulations 2013.

SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and the design, selection and arrangement of them, are owned by MerinoTech, its affiliates or its licensors, and are protected by United Kingdom and international intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material from the Services without our prior written consent. Except as expressly provided, nothing in these Terms grants you a licence or other rights under any patent, trademark, copyright or other intellectual property of MerinoTech, Shopify or any third party. All rights not expressly granted are reserved.
MerinoTech names, logos, product and service names, designs and slogans are trademarks of MerinoTech or its affiliates or licensors, and must not be used without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos and marks on the Services are the trademarks of their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be given access to tools offered by third parties as part of the Services, which we neither monitor nor control.
Such tools are provided "as is" and "as available", without warranties, representations or conditions of any kind and without endorsement. Your use of them is at your own discretion, and you should satisfy yourself that you are familiar with and accept the terms on which the relevant third party provides them.
We may offer new features through the Services in future. These will also form part of the Services and are subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials and links to websites operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites. If you leave the Services to access them, you do so at your own risk.
Please review the policies and practices of any third party before entering into any transaction with them. Complaints, claims or questions about third-party products and services should be directed to that third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
MerinoTech is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with MerinoTech. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sale between you and MerinoTech, including any injury, damage or loss resulting from purchased products and services. You release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with MerinoTech.

SECTION 10 - PRIVACY
All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's privacy policy, which can be viewed here. By using the Services, you acknowledge that you have read these policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and with third parties that may be located outside the United Kingdom. Our Privacy Policy explains how we, Shopify and our partners use your personal information, and the safeguards applied to any international transfer.

SECTION 11 - FEEDBACK AND REVIEWS
If you submit, upload, post, email or otherwise transmit any ideas, suggestions, feedback, reviews, proposals or other content ("Feedback"), you grant us a perpetual, worldwide, sub-licensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use.
You confirm that: (i) you own or have all necessary rights to the Feedback; (ii) you have disclosed any compensation or incentive received in connection with it; and (iii) the Feedback complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it.
We may, but are not obliged to, monitor, edit or remove Feedback that we consider unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes any party's rights or these Terms.
You agree that your Feedback will not infringe any third-party right, will not be unlawful, abusive or obscene, and will not contain any virus or malware. You may not use a false email address, impersonate another person, or otherwise mislead us or others as to the origin of any Feedback. You are responsible for the Feedback you submit and its accuracy.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be information on the Services containing typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, delivery charges, transit times or availability. We reserve the right to correct any such errors and to change or update information at any time without prior notice.
Where a pricing error is obvious and could reasonably have been recognised by you as a mispricing, we may cancel the order and refund you in full. Where it was not obvious, we will honour the price shown.

SECTION 13 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any applicable law or regulation; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, disparage or intimidate our employees or any other person; (e) to transmit false or misleading information; (f) to send, receive, upload, download or re-use any material that does not comply with these Terms; (g) to transmit any advertising or promotional material, including junk mail, chain letters or spam; (h) to impersonate any other person or entity; or (i) to engage in any conduct that restricts or inhibits anyone's use of the Services, or that may harm MerinoTech, Shopify or users of the Services.
You also agree not to: (a) upload or transmit viruses or other malicious code; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm or pretext the Services; (e) use any robot, spider, scraper, data-gathering or extraction tool, AI agent, or other automated means to access the Services; or (f) interfere with, bypass or circumvent our security or authorisation measures.
We may suspend, disable or terminate your account if we determine that you have breached these Terms.

SECTION 14 - AGENTS
14.1 This section applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can be executed without direct supervision.
14.2 No Agent may access, use or interact with the Services unless it identifies itself and operates in accordance with section 14.4. No Agent may access the Services if we have asked it to refrain from doing so.
14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses and interacts with the Services.
14.4 Agents must: (i) identify in all HTTP/HTTPS requests that the request is from an Agent, by including "Agent/[agent name]" in the user agent string; (ii) not conceal that any access or interaction is from an Agent, including by mimicking human behaviour or by completing or circumventing CAPTCHAs; (iii) respond truthfully to any question seeking to determine whether interactions come from a human or a computer; and (iv) not circumvent any measure intended to block, limit or control how Agents access the Services.

SECTION 15 - TERMINATION
We may terminate this agreement or your access to the Services at any time, and you will remain liable for all amounts due up to and including the date of termination. Where you have not breached these Terms, we will give you reasonable notice.
The following sections continue to apply after termination: Intellectual Property, Feedback and Reviews, Termination, Liability, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provision that by its nature should survive termination.

SECTION 16 - INFORMATION ON THE SERVICES
Information presented on the Services is made available for general information purposes. We do not warrant the accuracy, completeness or usefulness of general information such as blog content, guides or third-party material, and any reliance you place on it is at your own risk.
This section does not apply to product descriptions, specifications or any other information forming part of your contract with us, and does not affect your statutory rights.

SECTION 17 - LIABILITY
We do not exclude or limit our liability in any way where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of your legal rights in relation to the goods under the Consumer Rights Act 2015, and for defective products under the Consumer Protection Act 1987.
Subject to the paragraph above, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen, or if at the time the contract was made both we and you knew it might happen.
We are not liable for loss or damage that is not foreseeable, or for any loss of profit, loss of business, business interruption or loss of business opportunity, as we supply our products for domestic and private use only.
If you use our products for any commercial or business purpose, we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

SECTION 18 - EVENTS OUTSIDE OUR CONTROL
We are not responsible for delays or failures in performing our obligations caused by events outside our reasonable control. If such an event occurs, we will contact you as soon as reasonably possible and take steps to minimise the delay. Where the delay is substantial, you may contact us to cancel your order and receive a refund for any products you have paid for but not received.

SECTION 19 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision will be enforceable to the fullest extent permitted by applicable law, the unenforceable part will be severed, and the validity and enforceability of the remaining provisions will not be affected.

SECTION 20 - WAIVER AND ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
These Terms, together with any policies posted on this site, constitute the entire agreement between you and us in respect of your use of the Services, superseding any prior agreements, communications and proposals.

SECTION 21 - ASSIGNMENT
You may not transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations under these Terms to another organisation, and we will always tell you in writing if this happens and ensure that the transfer does not affect your rights.

SECTION 22 - GOVERNING LAW AND DISPUTES
These Terms are governed by the law of England and Wales, and disputes may be brought in the courts of England and Wales.
If you live in Scotland, you may bring proceedings in either the Scottish or the English courts. If you live in Northern Ireland, you may bring proceedings in either the Northern Irish or the English courts.
Nothing in this section deprives you of the protection of the mandatory consumer law of the country in which you are resident.

We may update, change or replace any part of these Terms by posting updates to our website. We will notify you of any material change in accordance with applicable law, and such changes will take effect on the date specified in the notice. Changes do not apply retrospectively to orders already placed.
Your continued use of the Services after changes are posted constitutes acceptance of those changes.
